Terms of Membership

Effective: January 1, 2026 - AiFusionX, a Private Contract Association

These are private membership terms for a Private Contract Association. This is not a standard commercial terms of service agreement. By accessing AiFusionX services, you agree to operate within the private membership framework described below.

Nature of This Agreement

AiFusionX is a Private Contract Association (PCA). These are private membership terms - not standard commercial terms of service. By accessing AiFusionX services, members enter into a private contract with the Association. This agreement governs the relationship between the Association and its members on a private basis.

Private Membership Basis

AiFusionX services are provided exclusively to members of the Association, under private contract. Membership is not a public transaction. Access to services - including the AI & Automation Audit, FusionAudit portal, FusionCore CRM, FusionFlow automation, and all related deliverables - is granted on the basis of private agreement between the member and the Association.

Member Conduct

Members are expected to: engage in good faith with the Association and its team; use services for the purposes stated at the time of membership; protect the confidentiality of Association materials, processes, and proprietary information shared in the course of service delivery; abide by the Association's member guidelines as communicated from time to time; and refrain from conduct that would harm other members or the Association.

Confidential Information

In the course of delivering services, the Association may share proprietary methods, tools, and information with members. Members agree to treat such information as confidential and not to reproduce, distribute, or disclose it to third parties without the Association's written consent. This obligation survives the end of membership.

Service Delivery

Services are delivered as described in the member's blueprint and associated service agreements. The Association will make reasonable efforts to deliver services according to agreed timelines. Delivery timelines may be affected by factors outside the Association's control, including third-party platform availability and the member's timely provision of required information and access.

Intellectual Property

Intellectual property created by the Association in the course of delivering services to a member (including custom automations, configurations, and blueprints) is delivered for the member's use in their business. The Association retains ownership of proprietary frameworks, methodologies, and tools used in the delivery process.

Limitation of Liability

To the fullest extent permitted under applicable private contract law, the Association's liability to any member is limited to the value of services rendered under the member's active service agreement. The Association is not liable for indirect, incidental, consequential, or speculative damages. ROI projections provided in blueprints and audit reports are estimates based on available data - they are not guarantees of outcome.

Dispute Resolution

Any dispute arising from or related to this private membership agreement shall first be addressed through good-faith direct communication between the member and the Association. If direct communication does not resolve the matter, disputes shall be submitted to private arbitration before any action in a public forum. Members agree that private arbitration is the exclusive remedy for unresolved disputes.

Governing Framework

This agreement is governed by private contract principles applicable to private membership associations.

Modifications

The Association may update these terms from time to time. Members will be notified of material changes. Continued use of Association services following notification of changes constitutes acceptance of the updated terms.
